I post from the filings to show that Raadr is a holding company that has no ownership of Telvantis who's dilution is paying for everything. I show this with the filings. The facts are in black and white which is why no one here even cares to debate it. Phase three began after they dropped the Q2 report showing how they scammed shareholders with the scheme to covertly issue 1.3 billion shares of the reg A offering.
When they reveal he rest of the story with the Q3 report next month it will not matter anymore because the one year plan will have been completed and they can then flush out all the bad debt and new capital conversions with the reverse split. Meanwhile Mexedia has been divesting themselves of Telvantis. It is clear that Mexedia owns all things Telvantis. We know that Telvantis Voice Services was sold to Spectral Capital. in the share exchange agreement last week. Look at the statement from page 32 of the latest reg A offering amendment in April. It isn't clear if the Ireland business segment Mexedia DAC is not part of Telvantis Voice Services. These Mexedia managers have converted a he77 of a lot of shares using tactics that confuse and obfuscate Raadr shareholders. Have they completely divested themselves of Telvantis making Raadr not only a holding company but also reduced to shell status.
These Mexedia managers have been lying for many months and yet you still parrot their talking points. Revenue doesn't equate to cash flow which we know is negative for this business model. Raadr serves as a holding company and Mexedia shareholders own Telvantis. When they talk about building shareholder value they are talking about Mexedia shareholder. When we talk about Mexedia shareholders we are talking primarily about one person, Orlando Taddeo. Page 32 describes the European regulatory rules requiring the distribution of the series F preferred shares to Mexedia shareholders. Raadr issued 75,000 series F preferred shares to acquire the two Telvantis entities Mexedia Inc (Telvantis Florida) and Mexedia DAC, Dublin Ireland based business. According to the filing Mexedia owns the series F preferred shares and used the controlling interest to fleece Raadr shareholders. Now these Mexedia owners sell the Telvatis Florida business to Spectral Capital with the share exchange agreement.
Effective October 8, 2024, a change in control of the Company, in connection with our acquisitions (the Mexedia Acquisitions) of Telvantis Voice Services, Inc. (formerly Mexedia, Inc.), a Florida corporation with its operations headquartered in Miami, Florida (Telvantis Florida), and Mexedia DAC, an Ireland corporation now wholly owned by Telvantis Florida (Mexedia DAC) (Telvantis Florida and Mexedia DAC are referred to as the Mexedia Companies). Following these transactions, Mexedia SPA controls the Company. However, it is intended that, as soon as possible and in keeping with applicable Italian corporate laws and applicable Euronext Growth Paris exchange rules, Mexedia SPA would distribute to its shareholders the control shares issued to it pursuant to the Acquisition Agreements.

I can make the case that today's AmeriCrew acquisition news is just value added for last weeks announcement that Mexedia sold Telvantis Voice Services to Spectral Capital. Raadr acquired 100% ownership of Telvantis Florida by the issuance of 40,000 shares of Series F Preferred Stock to Mexedia SPA and 100% ownership of Mexedia DAC by the issuance of 35,000 shares of Series F Preferred Stock to Mexedia SPA. BUT, Mexedia owns all of the 75,000 shares of series F preferred and Raadr effectively only owns the debt. Then last week Mexedia sells Telvantis Voice Services which is Telvantis Florida to Spectral Capital in the share exchange agreement for all of the shares of Telvantis Voice Services aka Telvantis Florida. Today these Mexedia managers announce that Telvantis a a Florida-based company is acquiring AmeriCrew. After they close the Spectral Capital deal Mexedia will still have Mexedia DAC based in Dublin Ireland.
