They do not have to file an S-1 ... I was mistaken, the S-1 was flied when they were a different company before the reverse merger into the shell I held.
What they do have to do is prove transparency in their books and their filings... that's easy... and according to that press release the board has made that decision to upgrade, so this is not just a single executive whim.... the board is behind it....
now the question is.... how long before the big money can get involved, they have to wait until after the OTC filing is complete, money managers will not spend money on a company without proven transparency.
