REBUTTAL of PROTO's TIMELINE-->EVENTS POST:

First re the DR LEBBY DEPARTURE NARRATIVE that there was a difference of opinion regarding business strategy: This has no basis and is the product of imagination. No-one has to date provided any evidence that there was a difference of opinion between Dr Lebby and others at the company. Now for the NONSENSE Timeline to nowhere, from Proto - the one who has been expecting a deal "any day" since he got here in 2012:

1) from December 2023 Open Letter investors learned that Lebby was anticipating meeting his long-standing Timeline (same Timeline used since at least as far back as 2019) of Customer Acceptance deals in 2024, but LWLG/Lebby had not yet been successful in Foundry production on 200mm Wafers to support the high volumes ie millions of units, that Tier 1's required

RIGHT. You were pumping deals all through 2023 only to find out at year end that those deals weren't even possible since 200mm Wafers hadn't even been produced. This is a prime example of people misunderstanding what Dr Lebby meant way back in spring of 2023 when he said he was 100% focused on commercialization.

2) from OFC March 2024 investors learned that the Tier 1 interest had skyrocketed from 200gbs world class performance demos

Funny - you've been pumping high interest for years before that - even suggesting that Hyperscalers (Ie Amazons, Googles) were FUNDING the Foundry work (which was laughable and easily disproven from filings). This demo we are told did INCREASE interest to the point where they actually cared, whereas before it was more like a passing interest by a few. Be clear though: This was not a PIC demonstration - it was a single lane demo from Foundry work.

3) from the 1st Quarter summary report April 2024 investors learned of a HUGE MILESTONE that LWLG had now proven it's PDK's were functionally producing on 200mm Wafers

Yes, well over 9 months after investors thought this had already happened, since they - especially YOU PROTO - had been pumping deals for ubiquity all year long. Investors didn't understand that one-off deals for material were nothing compared to a deal using a PIC for volume. Many still appear to not understand this. 4) from April 2024 Belgium meeting when asked about the upcoming commercial deals Lebby was quoted as saying "What would you rather prefer? One big volume agreement with a Tier 1 or 10 smaller ones?” so apparently Lebby had ditched the Tier 2's at this time, likely NOT the best thing to have done in retrospect, to focus on the Tier 1 interest that was suddenly swamping him

Maybe, but the message originally wasn't that they switched customers - it was that the ones they were talking to --which were thought to have been Tier1s already!! - demanded more data for reliability and scalability. REPEATED at ASM - another 6-9 months to wait for that. And no confirmation of a 4 lane PIC. So how much interest is really there by a Tier1? Most likely they are still saying: "Let us know when you get a PIC ready and then we will talk". The company to date has NEVER confirmed that they are designing squat with a transceiver company - not even the first prototype demo transceiver with a transceiver company. The reason why is simple imo: they aren't. All they have ever said is transceiver companies are interesting in learning, are "engaged', and after this demo "evaluating", and discussing. Nothing clearly ever has gone beyond TALK with a transceiver company. There is no reason Lightwave should avoid telling us one (even unnamed) has agreed to actually create a demo if that had been the case. When Kevin point-blank asked Dr Lebby at the ASM - he would not confirm it.

5) from the ASM May 2024 Slide #29 (COLOR CODED!!!) investors learned that 4x200 PIC was in Qualifications!!

Ridiculous. If that were as real or big as you think it was Dr Lebby would have put out a PR and pumped it endlessly every chance he got just like he did the 200mm wafer and "eyes" demo. The graph likely was an error or he was playing very loose. It is clear from what Dr Lebby literally said about that exact slide point -- "4 lanes is coming" and when Kevin point blank asked if 2024 would show a PIC he only said it is progressing. Again, there was no indication that this was a HUGE MILESTONE and the REMOVAL of the 7900 unit projection suggested they were nowhere close to having a completed and ready PIC to be dropped into even ONE demo transceiver.

6) from PECC in October 2024 investors learned facts that support Transceiver partners being in late-stage Prototyping, ie. RF designs, Reflow considerations, Reference Designs

I call BS. Prove it. Most likely these refer to testing the company is doing in their own lab or with AFM - their one and only 200mm wafer foundry (per the 10Q and common sense)

7) from Lebby's Benzinga November 2024 investors learned the following two things:

How "close" and significant are never clarified by the company - but common sense says they aren't close to anything since common sense says there is no ready PIC, but also since the new goal is a WHOLE FREAKIN YEAR: "2025".

8) from the Lebby Podcast interview December 2024 investors learned that in Tier 1's Qualifications of the 4x200 are going EXTREMELY WELL, in fact Lebby was quoted as saying "trying to really understand how robust this material is, and actually we've been positively surprised, this is more robust than we expected"

More BS. Nothing was said by Dr Lebby about "Tier 1's Qualifications" or that it was with regard to the 4x200 PIC. The quote you just put up was about the MATERIAL, which IS being tested over and over. Nothing about the PIC.

9) from the December 2024 news release investors learned of Lebby's abrupt departure and a new CEO named who is extremely well known in the Industry with a long history of DEAL MAKING

YEP. We also saw that the resignation PR didn't even mention a PIC, and only mentioned "polymer modulators", "material", new verticles, evolving, etc..so it is quite possible that the kinds of DEALS Yves will be making will involve several different non-scalable avenues that have nothing to do with a PIC that can scale in volume. In other words, NICHE markets. He may also be tasked with selling the company for whatever they can get for it

10) from December 2024 SEC filings investors learned that the newly appointed CEO and President are getting options with the 6 month fully vested window set at June 2025, historically these type of option grants are vested on a percentage basis annually over a 5 year period), this would strongly suggest the Tier 1's are now through their Qualifications and looking to lock down LWLG's game changing true Next-gen technology for themselves, personally I believe we will see a first buyout offer from one of these Tier 1's in the coming months in the $2-$5 Billion range, and I would fully expect this would trigger a bidding war, let's not forget what Lebby told investors when asked the question at the 2024 ASM in May 2024

Hilarious valuation. Alternatively the short vesting strongly suggests that those guys only agreed to help the company get through a crisis period that Marcelli brought upon himself by virtually promising major deals by year end after shareholders were leaving in droves after the ASM where Michael tried to "get real" with investors.

Let's see what kind of communications we get from the new guys: Let's see what exactly they say about the PIC and transceivers built with the PIC inside of them - even for just demonstration purposes. Will they use the weasly, meaningless forward-looking phrases that the company is famous for and that has dominated the narratives during Dr Lebby's reign (and before) - resulting in a price that soared from under $1 to over $20 in a matter of months and then all the way back down to below $2 most recently when he suddenly left without explanation, or will they say: WE HAVE DONE THIS!?

Another full hour out of my life used with questionable discretion. I wanted to see if I could adequately address his points or not as a test for how certain I am of my own narrative, but also because I can't stand what Proto has done here for 13 years - resulting in millions of dollars lost by those that bought into his continuously false and imo disingenous narratives.

TRUTH

For those newbies tempted to get sucked in by this nonsense: Be very careful here. I put out a red flags post for the last 12 months which is pretty devastating - so much that no long dared challenge it, but that has since been replaced with a summary of where the company's products stand - pending clarification in hopefully a year end letter from the new CEO.
