Ok, great thanks for the validation, once they get this control issue with the OTC taken care of then we can see who the target(s) may be for the next merger that Jim wants to get done... or with voting control now the new board of directors.... because they did not go thru all of this without having something already planned IMO

Gentlemen, Maybe the notice is just required due to this appropriate reason that you did not bold:

A change in the composition of the Board occurring within a two (2)-year period, as a result of which fewer than a majority of the directors are directors immediately prior to such change

We would, of course, prefer it also be one or more of the other reasons, but that alone, would require the notice.
