Look, this is the easy way out for the board, senior management, and institutional investors. Especially institutional investors they saw the mismanagement of this organization and they would welcome way out.

do you think the whole thing is such a clusterf**** that the board is really thinking the current organization and strategy is suboptimal?

I suspect that:

a) This merger process was started *before* the recent slope up in Daxxy sales. Eg even in early June, Foley, when asked about Q2 sales, only mentioned RHA. Daxxy was conspicuously unmentioned, the same as it was in Q1 cc in early May when asked the same question. Similarly, Borack, a perma-bear who runs an injection clinic, only recently noted that he was hearing buzz about Daxxy. Similarly, only in ~June did the people on this board tracking instagram notice a big uptick in buzz.

b) Foley was particularly worried in this period (before takeoff of Daxxy) because he had promised $280M and without an exponential takeoff he was going to fall way way short. And stock would crater from anticipation of dilution or costly loans.
