why would they sell 8 million shares when , vote or not, multiple approvals are incoming, starting in a few weeks to a few months?

Just my opinion I’m wondering if management sees this upcoming vote on there compensation package not looking so great.So they sell shares at a discount to gain 8 million votes in there favor

Only stockholders of record as of May 9th are entitled to vote.

Transaction settled June 5th. They can't vote.
