Does it matter who they were sold to? If deals are really going to happen by ASM the point still stands... Why sell early?

The company sells ROTH and LPC shares at a discount. Those shares are then sold to the uninformed retail speculator on the open market. ROTH and LPC pocket the delta and send the rest of the cash to the company so they can keep cashing their paychecks.
