Some would guess that there was a clear violation in their agreement and Foote didn't want to pay the amount asked plus legal fees. So you pay what is asked when you know you will otherwise lose. I would also guess that they don't want to burn their bridges either.
You hint that something nefarious happened when Sharp bought shares to 1. increase assets of FORW and 2. help HMBL with needed cash.
Look at Sharp's twitter posts around the time. He stated publicly that the deal would do both. Nothing illegal or nefarious about that.
