List out the past 7 years of ASM and you would see in 2015-2016 they were in december, and only 2017's was late and held in January. From there its been more in the midyear ASM but we have till the end of the year to hold any meeting.
The requirements are specifically laid out on OTC's informational website; I'm not doing the DD for you. Look it up yourself.
And in any case it certainly isn't calendar (or even fiscal) year based so, even if it were required, 'till the end of the year' is 100% definitely not the deadline.
The ASM is a Delaware corporate law requirement that the meeting be held at least once every 13 months. That’s where they’re in violation. But in the scheme of things, I doubt anyone is enforcing this requirement.
I guess someone could sue for specific performance, but that’s about it.
