The blame for this one falls squarely on the transfer agent. They did confirm any of the falsified transfer requests directly with the individual who purportedly made the request, and they also issued shares for a "finder" which they knew, or should have known, was not legal under federal securities law.
The broker/dealers also are at fault for, again, not confirming the authenticity of the orders directly with Shareholder 1, but that occurred after the Transfer Agent didn't do their job.
This is but one more example of the important gatekeepers not performing their legally required duties.
