James - This will be an IPO. A Proxy will be issued soon, there will be a securities offering of $10,000,000 and I believe RXMD will undergo a Symbol Change.

You are right that this is not an IPO in the pure sense that we know, but with the S-1 being filed, RXMD is looking to IPO and uplist to NASDAQ hopefully by years end.

Actually, it is an IPO. The OTC, per the SEC, is not a "listed exchange" while NASDAQ is.
