So why on earth would they fight this in court to keep the shell .. This cost them a lot of money to get control back

Not only was CRGP the second in a series beginning with SRGE, there is now a third very active company (AABB) with a very similar business model. Invent an imaginary Mexican mine, head up the company with an imaginary CEO (James Gilbert), and issue a divvy. Even the same promoter for all three of these. Amazing how successful a business model all three have been.

The entertainment value is high!
