Jeff has to do the filing as the CEO (like with NECA) so that you can be a "3rd party" and use the debt you control to convert into free trading stock.

You can throw your brother under the bus, but in reality, creating the new business entity in Florida was just about converting old debts into free trading stock.


But the SEC suspended ABVG before the scheme could get that far.
