The reason for all of this foolishness is the court order requiring that we have this vote as a result of legal proceedings initiated by Discover. Ziv is bound to see this through and it's a good backup plan for Discover. If they cared about it passing they could have contacted investors who hold enough shares to influence the decision which they have not, although Ziv stated that they would in the meeting. Apparently there were some robo calls that did not promote voting one way or the other. As you pointed out earlier the company stacked the deck against initiatives 1 and 2 passing with their treatment of abstentions. One thing that is absolutely certain is a yes vote is a vote for Discovers agenda. It's not clear yet how that combines with Ziv's agenda.
