I also came across an old presentation referencing acquiring youth addiction centers.

So I thought the same back in June when I was digging into all this because the only filings from 2014 that I read regarding an acquisition mentioned Gordon Hay. However the PRs specifically mention Arizona and Washington as locations the acquisition has, so I threw Hay's name out as he's just in Canada. So the question remained, what acquisition from 2014 is the PR referencing?

I'll offer this timeline up from 2014 as an answer to the question. It still involves Royal Life. You decide whether the 2014 timeline is coincidental or not...sorry for the lengthy post.

September 30th 2014 - Frank Cid (owner of Royal Life) had Royal Life sold to a Goldman Sachs affiliate in 2014 for $32.5M but the buyer backed out at the last minute due to false accusations against Cid. The buyer was Dr. Gold, ARS Chairman (another player in addiction treatment). The accuser was John Lehman, a self-proclaimed watch-dog for addiction treatment centers.

The Palm Beach Post authors of the article above issued a public apology to Cid for their original article.

Here's where it gets interesting to me. Two weeks after Cid's deal fell through...

October 14 2014 (GRST 8K): GRST entered into an LOA with SCG for up to $40M structured term facility for acquisitions, refinancing and working capital.

December 5, 2014 - (GRST 8K) GRST cancels the $40M debt facility with SCG.

December 19th 2014 - Cid files suit against Lehman for the false accusations preventing him from selling Royal Life.

Maybe it's all coincidental but I think GRST attempted to purchase Royal Life after Cid was falsely accused and his original deal went south. For whatever reason it didn't happen, GRST canceled the LOA and then Cid filed his suit. But that's for you to draw conclusion on.

Not trying to steer you one way or another, just sharing what I came up with regarding the 2014 acquisition comment from the PR.

I didn't include links to the 8Ks, they're in Edgar just look for the dates.
