Also you forgot to mention the funding part as a loan,

Plus this deal is only for the Canadian Territory. Now if they want to change the ticker to just Canadian exchange then that is different story, but the fact that they said dual listing, has to be bigger picture than you just described.

Let me chime in. This is not a reverse merger situation between PCTL and Ontario Inc, imo. In a reverse merger a private company acquires a public company so that the private company can bypass the lengthy and complex process of going public. Normally the private company has the goods and the public company is a shell. Not certainly is the case here.

Now referring to this point in the 8k:

"Ontario will use its commercially reasonableefforts to complete a transaction to list on the TSX Venture Exchange or the Canadian Securities Exchange, which transaction willlikely be a reverse take-over with a publicly listed shell company"

I'm not a lawyer, so my interpretation is from a common man's perspective. Ontario Inc, once a deal is closed with PCTL, will seek to list on TSX venture exchange via reverse merger with a publicly listed shell company. Because its quicker and cheaper to do so. But the shell in here is not the same entity as PCTL.

Just my two cents, could be right or wrong. Who knows.
