I've never heard of a beneficial owner being called a control person. I've only ever heard the person with voting control over a public Issuer as being referred to as a control person.

A person can be both the control person and a beneficial owner, but you can only have one control person (or a control group if an investment group owns the control stock together).

The SEC defines a "Control Person" as a person having "the power to direct the management and policies of the company in question, whether through the ownership of voting securities, by contract, or otherwise"


And remember the whole reason this conversation started was because you said this about Dustin Secor's Series B preferred stock

I think it's more likely they gave that stock back to White, so he'd have control of the shell. Though we won't know for sure unless ANDI bothers to file those overdue financials.

Dustin has owned that Series B preferred stock since 2010. Long before William White showed up and all the while that William White was previously the control person of the ANDI shell.

There would be absolutely no reason for Secor to give his Series B preferred stock to William White. William White didn't own that Series B Stock before Utopya temporarily gained control of the Series A control stock from William White so there would be no reason for William White to take over the ownership of the Series B preferred stock now that he is back in control of the ANDI shell.

Whoever owns the Series A preferred stock controls the ANDI shell. The Series A preferred stock is the only stock White needs to own to have control of the ANDI shell.
