Ill tell you why.... you create 2 entities, 1 main, 1 sub. you buy all the assets in the Sub and R/M the Main into the shell you just bought. The NOL's are attached to the Main company and the assets are to the Sub company. Then you can spin off the Sub that owns the assets free and clear and keep the NOL's in the Main to live on.
