Evidently, this team saw enough value in ANDI to agree to being acquired without any exchange of cash. We also can’t suggest there will be any dilution as a result, as again, we still don’t have all of the details on how it transpired. Regardless, wouldn’t dilution hurt the folks at WeWi as well!
What needs to be understood is that when you acquire a company, you acquire everything good and bad it may carry. What we know is there is a $250 MM purchase order that would also be acquired...but what we don’t know is how much debt WeWi is carrying, which would also be acquired. But, their business will still run as normal, just under a different name (most employees will not see any difference in their day to day). So, the deal must have been seen as beneficial to both...perhaps what Utopya brings to this, whether with the Cylcoides partnership or not, is a way to deliver on the contracts WeWi has at a reduced cost.
