#135369 RE: RealDutch #135366

Yes, I was referring to the ECAB-deal, but there is no doubt in my mind that Solomon will throw us under the bus again if need be - someone has to make sure that there will be no need to throw us under the bus, and/or force Solomon's hand so that he is unable to throw us under any bus.

Also, someone - Arne Fredly maybe - needs to (re)tell Solomon that any increase in OS has to be reported to Oslo Børs immediately. I believe the same applies for any material event (btw; didn't the last "PR" about increased OS come a few days/weeks after the actual increase?)

BTW; What does the Q2-report state about possible lawsuits? If they indeed made a deal on July 17th, then I doubt Solomon didn't know of a potential lawsuit from ECAB - if that was the deal. The one thing we do know is that the excuse they wrote in the 10-K about the restructuring of the ECAB-deal is pure BS (we're talking zero facts level here!)

Solomon is way over his head, and has been for a very long time. The question is whether Fredly will try to take him down - at the very least there should be enough stuff here to kick SIAF out from Merkur (which might be a good thing). I think this is something Oslo Børs is very reluctant to do, but we're finding some rather large skeletons in the closet now - skeletons that are in severe breach with the rules on Merkur. Can Oslo Børs look the other way if Fredly displays all this in the media?

I also believe one can make a case from the whole TRW-dividend not happening last summer (or at least how they did not disclaim that it would not until way too late), as well as not disclaiming a 20% dilution in time. The combination - not giving the dividend as said while at the same time negotiating the 20% dilution - looks really ugly to me. The company basically said that we would get 0.85 TRW-shares in dividend while at the same time negotiating a deal that would decrease it to 0.70 and also knowing that it would not happen at any time soon, without disclosing it. You may argue that this was in the interest of the shareholders, but I believe it is against the rules on Merkur (and maybe even Norwegian law) - sure he "protected" the old shareholders, but he also lured in new shareholders on false premises.

Actually, seeing how Solomon has acted the past year I believe one should be able to make a case that Solomon is not acting in the shareholders best interest - another reason to be kicked out of Merkur.

Solomon; Time to get your act together!
