But that is not the "closing"...it is a definitive agreement "providing for" the reverse merger. The ONLY indication of the deal having closed is the reference to Utopya as a "wholly owned subsidiary" in the January 25, 2018 and the label "OTC:ANDI" in a PR on Jan 15, 2018.

And here is why this is important.

The financial disclosures for the period ending January 31, 2018 discuss these two items:

(a) "On November 28, 2017, the Company solidified an acquisition of Utopya Innovations, Inc"

"solidified" has no real meaning in this context. There is no disclosure of the deal actually closing.

and (b) the disclosure of the sale of the controlling pref A to Utopya...which may not be ownership control...but only voting control. And that would make ANDI the wholly owned sub of Utopya...not the other way around as being presented.

IN ADDITION, there is no financial treatment of the RM in the fins for the period that the RM supposedly occurred.

NONE...and that is odd because it suggests that Utopya had nothing in it asset wise.

I suspect this question of what exactly happened, and when, is what is holding up FINRA's processing of the name/symbol change. They must be asking a lot of questions.
