You are wrong. You are misunderstanding the information in your link.
RMRK is an SEC registrant and IS required to file. They are not required to be registered, but once they ARE registered, they are required to file. That is why companies choose to register with the SEC even when they don't (legally) have to do so. The market caps of SEC registrants are substantially higher than for stocks which are unregistered. Most investors will not touch the stock of a company that isn't registered with the SEC, and for good reason. Legitimate companies register with the SEC, and those that aren't, don't.
