for futrure ref - good to back any claims with a link & page number which is something i have chosen to do b/c makes it very easy for others to see the facts versus the "stories" being told as much that has been posted on this board was not based on fact and or there was a spin put on facts... so off to re-read those 2 annual reports to locate the facts you claim are there & will let you/board know the filing/page number if there :)
"On Alpha...Those shares are very likely IMO from series C convertibles being converted since the 2016 annual..." opted to check this first ---Schedule 13G must be filed within 45 days if investor holds more than 5% -https://www.investopedia.com/terms/s/schedule13g.asp

Unreal - this Arland/Alpha thing had me going back to 4/3/09 8K to pull some info that was there BUT see that OPXS must be reading this board or saw my Read OPXS Dirt post listed online b/c they have really have been doing some clean up work - added more Sustut filings that were not there back in 2014 & also changed some early filings like removing that they issued shares to Arland rather than Alpha 12/08 which Alpha allegedly sold to Arland in 10/08 etc etc SO good thing some of this now changed info was also posted directly on this board with those SEC filing links b/c also went to my OPXS Dirt post that was also a sticky post here to access initial 4/3/09 8K & see that what were direct links to SEC filings now have some funky PDF listed at end & you can no longer get those filings & Hirschman sec filings have disappeared too!!
Anyway - OPXS is not fooling anyone & this is just too freaking funny & i will never doubt any other stories that i read about things like this happening b/c i now know beyond any doubt that these companies down here in the wild west can get by with pretty much anything that they would never be able to pull off on higher exchange!!!
And they missed some Andrey OKS clean-up work who is still listed over on Linked In & other places & he has not changed that he was attending NYU 2008-2010, which means that he is either lying or Longview/Alpha/Hirschman were just using him on paper b/c no way he could be attending NYU & also be running Sustut in Seattle Washington in 2008/09 lol https://www.bloomberg.com/research/stocks/private/snapshot.asp?privcapId=34555042
SO back to this Arland/Alpha thing which is what had me going back to early filings to begin with.
12/11 10K - Alpha Capital owns the remaining 10% or 101 preferred shares convertible into 4,040,000 common shares, representing less than 2.13% total beneficially ownership. # 4 pg 67
12/12 10K -On February 22, 2012 - Alpha Capital Anstalt purchased 5,000,000 restricted shares of Common Stock of Registrant at a purchase price of $0.01 per share, for a total purchase price of $50,000. The purchase price for the Common Stock was negotiated on February 2, 2012 when the stock price was $0.01. The $50,000 has been utilized by Optex Systems Holdings for operating expenses.
Note - Not seeing any ref to Alpha purchasing shares from Arland & his purchase was less than Arland Holdings 15+M combined & again, highly unlikely that Arland would sell those shares back without making some sort of a profit unless he got them for free which is a very real possibility with this wild west company imo)
On August 22, 2012, Alpha Capital Anstalt converted 3.64 preferred shares at a stated value of $6,860.34 into 2,500,000 shares of common stock at a conversion price of $0.01 per share for a total converted value of $25,000. The Common Stock was purchased or converted by Alpha in private transactions exempt from registration under Section 4(2) of the Securities Act of 1934 and is restricted from resale and the stock certificate issued bears the appropriate restrictive legend. pg 56 https://www.sec.gov/Archives/edgar/data/1397016/000114420412068723/v330201_10k.htm
(Arland Holdings disappears from filings without any explanation that i could find & Alpha appears, which is no surprise to me but stay tuned b/c company just might clean this one down the road too lol )
