Ron, thats possible but not probable in my opinion. At this late in the game, we only have the 3.5 billion shares authorized. Also, I think the distribution to the escrow markers will likely be 75/25 split to maintain the same ownership percentage after the share for value exchange so that they dont loose the 6 billion NOLs. Again, just my speculation.

I can't fully refute a Stock for Assets purchase but it seems, based on what the law clearly states, is that a 1031 Exchange is not a possibility in our case.

(a) Nonrecognition of gain or loss from exchanges solely in kind

(1) In general

No gain or loss shall be recognized on the exchange of property held for productive use in a trade or business or for investment if such property is exchanged solely for property of like kind which is to be held either for productive use in a trade or business or for investment.

(2) Exception This subsection shall not apply to any exchange of—

(A) stock in trade or other property held primarily for sale,

(B) stocks, bonds, or notes,

(C) other securities or evidences of indebtedness or interest,

I have suggested this could be done for some time here and I am sure that there is a way the payout matrix could be made to work, not only to cover the shares exchanged, BUT as well to leave WMIH with some serious bank as any money that then in turn stayed with WMIH, would cause the stock/Preferds to grow exponentially over the years, as the funds retained were worked and leveraged.
