The original contract was, yes.

Yes, and an amendment is the same as a new contract. This is what I believe was a breach since the original contracting parties who made the conservatorship could not have expected it would be abused to create the NWS portion of the contract. However, until a court says otherwise, the contract is valid.

It is important to recognize that even a bad contract is a valid contract. Courts will never look to see if the contract was fair...only that there was adequate consideration on both sides. And adequate consideration is defined as having value equal or greater to a peppercorn.
