damn good post and theory...However I still don't know how wessal will be considered trading on inside info when they could not be more public with their declaration that they are buying. Other than that your theory sounds great..

Fish, I don't buy this theory. mainly due to the fact that I don't believe the company would muddy the water and lose control of the float without first taking advantage of the dividend.

Getting to the Nasdaq price level would be relatively easy if they owned the float and offered a dividend.

It would make more sense to achieve that price level first, when in complete control of the float.

Process should go in this order.

1. Audit.
2. SEC Documents in order.
3. Dividend.
4. Float analysis (potentially releasing shares here).
5. Apply to Nasdaq/

FLOAT:

I agree with the reasoning on the company insiders selling shares. In March (I think) they said they would sell them back (to the MM's) at a much higher price. This IS a much higher price right now. You are correct, there MUST be a float to get on the Naz.

For the naz small cap however, the float requirement is only 1 million public float. Public float is defined as shares not held directly or indirectly by any officer or director of the issuer or by any other person who is the beneficial owner of 10 percent or more of the total sharesoutstanding.

ASSETS:
I think the assets will be announced first. Since these will be listed in the audited fins, makes no sense to do it later.

Remember, the assets are HUGE !! The hint was given that these assets will propel the value to that which is needed for the Naz listing. We are not talking merely about at $25 million dollar piece of land. This is much,MUCH larger.

LISTING REQUIREMENT
A company has three ways (Requirement Rule 4420) to get listed on the Nasdaq depending on the underlying fundamentals of the company. If a company does not meet certain criteria such as the operating income minimum, it has to make it up with larger minimum amounts in another area like revenue. This helps to improve the quality of companies listed on the exchange.

Requirement Rule 4420 (c)
Under this requirement companies must have at least $75 million in total assets, total revenue, or listed securities. Listed securities as defined by the Nasdaq are securities listed on either a Nasdaq or another national exchange. The market value of the shares upon listing must be worth at least $20 million. They are also required to add an additional market maker for a total of four market makers.

ASSETS
Listed securities. We all know foreign governments invest in our markets. We also know that the Dubai Goverment holds a large interest (25-30%) in most large firms or groups in Dubai. Lets say a large group we are affiliated with was going to invest in SLJB. Instead of giving them mere cash (cash is good, but...), they were to transfer to them their holdings in a listed security. Would this not help to satisfy requiremeny 4420c ? Would this not be better than just giving mere cash???

Hey fish. I like it. Do you think they could be doing that to go onto the Dubai exchange first? Although it would take care of NAZ, Dubai probably has the same requirement regarding the public float but does not need the $4.00 uplist PPS.

Hey Fish, thanks for the PM and I think we are on the same wave length, but why do you suppose sulja sells well below the prevailing bid? On Friday, for instance, the bid was holding nicely at around .078 so why would anyone submit a sell order down around .074? I can't figure out a good reason for that tactic.........

Lot of good thought there.

I don't know if anybody brought up the time sequence though. Seems more sensible to me if you can get the price higher first, then sell into the float.

Seems like sulja bros is not maximizing their cash from stock this way.

Make no mistake about it, LFWK declared war with the shorts, and Sulja's battle plan is about to unfold. The pieces are strategically placed. And when the time is right, The bombs are going to drop in succession, almost in unison.
The shorts will be annihilated, and our pps skyrockets to victory. Mmmmn... I smell the battlefield at a close distance... Can you?

I've researched the DIFX, and on page 45 of the listing rules, it states that "For the DIFX to be satisfied that there is an adequate and open market in the Securities, it generally requires that there is or will be a minimum free float of 25% of the Securities to be listed"

So, while I agree with your theory of the company releasing shares, and working with the MMs, I do think it is so we can do a secondary listing on the DIFX first. The NASDAQ uplist will come later. There is much do to before that happens.

Anyone have any thoughts about this? Fish?

may be those shares that mgmt. is selling in the open market (to create the public float you talk about) is being bought by the market makers to "cover their short positions"...wouldn't that be solving 2 problems at once...public float is being made available, and MM's are being given a chance to cover thier positions...setting the stage for a move up later.
