It isn't that simple. The SEC goes after them when it can. But debt financing isn't illegal; it's also used by exchange-listed companies in responsible ways. However, those financing agreements aren't floorless, though defaults can happen, and when they do, the effects can be disastrous for the companies and for their shareholders. Floorless agreements aren't illegal; I don't know whether anything could be done about that.

KMA is suing HJOE for breach of contract. And HJOE did sign a contract.

Nothing would give me greater pleasure, but I'm not in Congress, nor do I run the SEC.

In the meantime, why not join those of us who warn folks not to get taken in by these toxic lenders and the companies with worthless businesses they keep going? There's no shortage of such companies, any thousands of investors you can help.
