hayward, pls don't believe such nonsense, you are being played.

The BoD cannot NOT being voted out because of the Poison Pill.

Your assessment of the board not being voted out should be based on what cheynew advances as a valid argument, they need only ONE vote (so if they vote for themselves it is OK).

The poison pill has nothing to do with that. The PP can only be triggered against one or multiple parties that have together a certain % of the shares.

The shareholders votes do NOT fall under that UNLESS shareholders would be organized in an hostile coordinated group.

Pls do not confound the above as a reply to your points in your post. I have no problem with that opinion. I just want to keep placing the poison pill where it belongs and that is :

NO MORE or NO LESS then what is written in the PPHM Shareholders Protection Plan.

The points you raise are more bylaw specifications and possibilities available to Delaware incorporation. However, it is not because something is written in the bylaws that it is always enforceable before a court of law.
