It could also be an insiders enrichment scheme being as both entities, TALK and UMS, are currently involved in lawsuits.
And maybe, just maybe, UMS does not actually have the revenue and assets they claim. Or if they do have this revenue, it is all siphoned off and they are running net negative.
It is a red flag when the company merging into any encumbered shell is being sued themselves for 895K for non payment of good provided. It is a red flag for any company presented as legitimate to assume an encumbered shell in the first place when other options are available to start fresh and clean, and for less money considering the liabilities of TALK.
Just a pragmatist, which I find to be a useful trait in the stock space or any walk of life for that matter.
