Here is where he got the shares without needing to file with the SEC

He bought the shares sold by Biasini. The rest he purchased from a buyer in the recent much pilloried money raise. That buyer made a quick 50% and kept the warrants for free. So another private transaction.

And again EK had to come up with nearly $5 million ($5/share x 1 million shares)

Caveat...just speculating.
