Form D is an SEC filing. The SEC is a legal regulator. OTCMarkets is a for-profit PR company. They have no regulatory authority whatsoever, and their "rules" are meaningless. Just for show. The SEC does not even recognize them, much less them having any bearing on the SEC's regulations regarding Form D's or anything else.
