It happens when the accountant forgets to file the year end with the Secretary of State. It's no big deal and annoying when you discover it because in many states it's free, online processing and a small fee of 50.00 or so.
It's happened to me then when discovered it's about 150.00 to be reinstated.
Also it does not stop a company from doing business and overall has no effect on the business at all.
