cynic, it's just not necessary to limit the options to issuing 350mil shs. I don't know why you are mentioning a reverse split at all. I'm pasting my post for review. I will accept it if they issue 350mil for North-West but I just wish they wouldn't. I am of the opinion that if they followed my framework, a 5 $ share price would be more quickly in reach. Of course it's still 150% higher when we see 2 with the additional 350 but it's just my opinion that they should not. I will remain long and bullish either way.
msg, there is a way that no new shares would have to be issued, *but the PR says that indeed an amount of shares will be issued.
Therefore we know that shares will be issued, but we still don't know how many. It could very well be done with a lot less than the 350 mil being bantied about.
**For example, the earlier PR said that NW will acquire 100% of the O/S of Nord. In exchange Nord gets the 2 divisions of NW. And this together is the Newco. The 180 mil restricted of Nord is about 75% of the total Nord O/S.(240). That owner would require that that very same percentage, 75% of NDOL is represented in Newco as 75% of the 41% Nord stake. Monimpex shares, Midland Baring shares, any other shares for services and public float is the other 25% of the 41%. But it's not necessary to issue 350 mil more shares in full for the Northwest 59%. Instead of issuing all new shares, think of a swap. Then, because NW owns 100% of the total O/S of Nord ( as it states clearly in one of the PRs ) we take 59% out of the 240mil for Northwest insiders. About 140 mil shs. The 41% is now 100 mil shs. 75 mil for owner of the NDOL restricted ( to maintain his 75% ownership ), and 25 mil for the other parties and float.
Once that foundation is set, shares can be exponentially increased and distributed to any desired total O/S. 10% more shares above 240m, 20% more, anything. They will be sure to allow for enough shares in the float for the investment community at large to take positions.
I just wanted to demonstrate this because I am not convinced it's a given that 350 mil more shares are going to be issued. I also realize that they probably won't do this, however.. alas we wait.
