Now the bit of comment I got, during my interview, about the reluctance of management to make investments at the plant level which would benefit the 9% owners without them contributing a cent to those investments begins to make sense. The rest of the 9% is going to cost plenty.

That's correct. It's a restriction on shares, not on warrants. Makes perfect sense.
