Sophist, I don't consider management irrelevant or non-essential. I also don't think it is more important w.r.t. DD than engineering. I'm invested because of the technology. I think a large factor in determining whether my investment will meet my objectives, and which happens to be an area that shareholders have limited ability to control, is dilution, and indirectly PPS.
I would not vote NO if I believe this would hamper IDCC's ability to reward engineers, or produce more valuable patents. I also don't expect management to force through deals just to make shareholders happy. I expect it will take time, and I have a long term investment horizon. Because of that, I don't think it is wise to grant options to a significant percentage of company in the interim. Early on, it was necessary, later on, when the results are tallied, it may be rewarded to players who earned it, but I don't see it being valuable now.
