Agreed - also no tax deduction does not really address the issue, just increases the cost and hurts the shareholders - again. Like most soft salary caps (think MLB, NBA, and Yankees), it will not stop the practice.
I also agree with cq - this is a corporate management issue. Boards are supposed to represent shareholders.
I will be very interested how ABBV deals with this issue. Shire management got big retention bonuses. If ABBV management gets big tax bonuses too, the Shire management probably will get tax bonuses too - on top of the cash for their shares.
And MYL will be interesting to follow on this issue just because of the identity of management and the political fallout.
