It's not incorrect. Two DFI shareholders, without a majority of shares to vote, resurrected their old DFI shares (you know, the ones they turned in to take DFMI shares) and without a shareholder meeting of the old DFI guys, voted amongst themselves to sell to TMMI for 11,500,000 shares of TMMI that was split amongst the two of them. TMMI must have known this was suspect. That, or this was the worst case of due diligence in history.
