In answer to your question about using the "plural," if you can take the time to check a few other penny SEC filings, you'll see the term Board of DirectorS is used pretty "loosely," i.e. the plural is not plural. Right off the top, I can think of three of these fine "Penny Beauties," where one guy pulls all the strings, but the filings still show the plural "Board of Directors." And the ONE PERSON who is the Chairman and ENTIRE Board has got to love it, as it takes the focus off the fact this single individual is accountable NOBODY, other than "possibly" the regulators. This ONE person manages all the PR's, can manipulate the stock structure, and in a lot of cases determines those who share no risk, but make a boatload of money!
