In the case of Medbox, you can take into consideration the following from its original 10-12g in April of 2000:
We, Rabatco, Inc., were incorporated under the laws of the State of Nevada on June 16, 1977. From our inception in 1977 through 1982, we were primarily engaged in the business of mineral resource exploration. We remained inactive from 1982 to 1998. See "History of Our Company." On January 24, 2000, we agreed to acquire MindfulEye.com Systems Inc., subject to the completion of a definitive agreement. On March 13, 2000, we completed the acquisition of MindfulEye.com Systems Inc. See "Our Acquisition of MindfulEye.com Systems Inc." We intend to change our name to MindfulEye, Inc. and to complete the development and commercialization of the technologies developed by MindfulEye.com Systems Inc.
Then you add this from the same filing:
We used the proceeds from these sales in order to pay for the cost of the investigation into the mining project. After an examination of our mineral properties by a geologist, we concluded that continued exploration of our mineral properties would involve an unacceptably high risk and we abandoned all of our mineral resource properties in 1982. We remained inactive until 1998.
It was abandoned!
It coincides with the Nevada SOS filings, whereby, the last filing was in 1980, and reinstated in 1998.
It was abandoned! As per their own admission.
My guess is Vinny, when he bought or stole or hijacked or however he got control of this shell, forgot to dig into its past.
So this is Medbox's description of its history, notice they omit the history...
We were originally incorporated on June 16, 1977 in the State of Nevada as Rabatco, Inc. In May 2000 we changed our name to MindfulEye, Inc. At that time, MindfulEye was in the business of operating self-serve kiosks where consumers could download movies onto a flash drive. Although MindfulEye had continuous operations and non-cash assets, revenues through the operation of the kiosks were minimal. That business has since been discontinued. On November 25, 2011, P. Vincent Mehdizadeh, the founder of MDS and creator of the Medbox, purchased 5,421,500 shares of common stock of the Company, after which he owned 50% of the outstanding shares of common stock of the Company. On August 30, 2011, in anticipation of the transaction discussed below, we changed our name to Medbox, Inc. to better reflect our current business operations.
Then, in 2003, the issuer went dark again and did not resurface until Vinny showed up in 2011.
"Abandoned" and "inactive" are pretty hard to argue, especially when it spans 17 years. Then you add another 8 years of abandonment, and Vinny's admission of MindfulEye being discontinued which clearly was in 2003, there is enough compelling evidence that this has been a former shell corporation in possibly three different instances.
I think Vinny got into this too deep when they drafted their first 10-12g in 2013 and omitted pertinent data, because they had already sold off a crap load of 144 paper.
