agreed, if the newco has cash on hand and revenues, that debt being paid is part of the cost of the shell.
my primary concern is a valuation issue based on the dilutive nature of the newco's 750M shares. i still can't see how those shares won't eventually affect valuation, unregistered, restricted, or otherwise.
