This "merger" would be based on NV law, not CA law, would it not, since the CA corporation doesn't exist according to the CA SOS?
I assume any non-binding agreement they "may" have with a company in Brazil is likely contingent upon the MRIB/MEI agreement being sound. In this case, "if" MEI isn't registered with CA, what legal rights, technically, does MRIB have?
The only thing I see is MRIB, not MEI, has a label approval for "Marani" with the TTB. The unnamed Brazilian company will need to obtain approvals in Brazil as well.
