No, officially it's 5B Authorized.

Just because management has made the decision (for now) not to issue more shares beyond a self-imposed cap of 950M does not mean that the number of Authorized Shares has changed.

The official number for incorporation purposes, 5,000,000,000, is in the Articles of Incorporation, and it has not been legally changed.

There is absolutely no legal restriction to management issuing another 4.05B shares, as there would be if a proper series of amendments had been passed to legally set the AS at 950M.

The only thing keeping Outstanding Shares under 950M is MJNA's management's self-control, and a desire not to tell shareholders the truth about the AS, because they think it will make the company look bad.

Actually, I take back that statement that they're not telling shareholders that it's 5B. They have. It's in the Articles of Incorporation, which they don't make available to shareholders.

They did establish a history of putting the number in the quarterly and annual disclosures, so of course, shareholders expected it in the 2Q/13 report.

Unfortunately, saying that it was 5B was inconvenient to the story management wanted to tell, so they just created a new classification.
