SRGE falsely claimed that they had a partnership - a joint venture - with Kinross, and Kinross promptly informed the market - and the SEC - that this was a lie.
The only bad luck for SRGE is that Kinross were able to react to SRGE's lies so quickly - SRGE had hoped that the holidays would delay that inevitable truth.
Seems like exemplary behavior to me.
