Thanks for the warm welcome. I've just discovered the REGDEX recently, and everything I have read on that type of filing is that it is paper(perhaps, so we can't see it) and usually for a million dollar loan(at least that's the value I keep finding). Here's what it says on EDGAR:

REGDEX/A [html][text] 1 KB [Amend][Paper]Registration of sale of securities [Regulation D and Section 4(6) of the Securities Act of 1933], item 04

This is the only form that I know of that a pinksheets still must submit. Basically, it's saying that they are about to sell shares. I guess it could be a small sell. One thing seems consistant...Looks like big moves come after a REGDEX.
Look at ACHI...they did a REGDEX on 4.14.2003..now look at the their chart. Dropped 50% in two months and after a bounce kept trending downward(I like them now and think they are about to launch). On the other hand, HISC did one in march of this year, and launched soon afterward. I think it depends on how high the current share price is and how much demand there is for the stock. Obviously, if the money is used to promote and sign contracts then the result may be fine...if not the result could eventually mean such dilution that a R/S must occur.

I think the share price at the time of the REGDEX is one of the most important factors. A high share price will mean less dilution than a lower price.

Ex.(overly simplfied)

1 mill loan to HISC paid back @ avg.pps .05
1,000,000 /.05=2,000,000 shares (not too big a deal)

1 mill loan to VWKM paid back @ avg.pps .001
1,000,000/.001=1,000,000,000 shares (not good)

Really, what we need to know is what is the current share structure of XLPI? Has anyone called the transfer agent lately? I think one of us should...we need to know the current structure AND from a month ago...then we will know...If they are gagged, then all bets are off.

Anyway, I'm no expert by any means and I would love some feedback. TIA
