1) The Florida SOS says PERL is a Nevada Corp because they are a Nevada Corp.
2) The pinksheets say that PERL is a Nevada Business entity because they are a Nevada Business entity
3) There was no transfer to Florida
4) PERL only files with Florida because they are required to because their business uses a Florida address
5) You cannot find the share structure in the PERL FL SOS filings because PERL cannot make corporate changes through the FL SOS. They are registered as a "foreign" entity in Florida. They can only make corporate changes through the Nevada SOS, but the Nevada SOS will not allow them to make any new corporate changes until they pay the $6,750 owed to the state of Nevada to bring their business license back up to good standing first.
