There is no difference in any price impact or payout difference between the commons and preferred ?

If you have a "Monk" like obsession with everything having to be all even numbers... you can either buy a few more, or sell a few... and even out the numbers.

While I really don't know how it was that they came up with the 12:1 ratio, either, I doubt they did it in order to annoy people by making the conversion of preferred generate uneven numbers in share holdings.

If they're concerned about it and need your vote that bad... maybe they'll modify it to a 10:1 and increase the authorized by some factor to compensate for the extra two in the overhead ?
