As is often the case, the declarations made in PRs don't necessarily jibe with the facts in the filings. The 8-K is pretty clear in the fact that the proceeds will be used to pay off the convertible notes due before anything else. The filings are also clear in the fact that the total of the convertible notes due exceeds the proceeds from the financing.
The PR is protected by safe harbor, but the filings, by law, must be accurate. When the two contradict each other, the astute investor will believe the filings before believing the PR.
