L2v:But There's Still the Poision Pill and PA Incorporation and I don't see how anything seen today sends a message that one can keep stonewalling IDCC and then buy us for pennies on the dollar? No I don't get it at all. The effect of the non binding proposal is much more limited even if adapted. Even IF there were no poison pill and the BOD adapted the proposal IMMEDIATELY and even if it went into effect IMMEDIATELY, Directors would still be bound by fiduciary duty to shareholders.

Perhaps you could elucidate your views more fully? I just don't get what the huge immediate threat is?
