Hardball .. Having researched the question it appears to me that Corp is essentially right about declassified boards and poision pills being bad for shareholder value by holding the share price down a significant percentage. My only objection was timing, I don't think the analysis applies to a company like IDCC at this time because it is so severely undervalued. Once we are fairly valued, I would support the proposal.

My only objection was the timing as well. This company is just on the verge of getting traction with WS. You believe that IDCC's tires will be firmly gripping the WS road in 12 months and therefore won't be able to be taken over on the cheap. I think you you are 12-24 months early in your estimate. I'm convinced that Michael Cohen agrees with me and knows he can get a deal done fairly easily in your time frame but not in mine so time is of the essence and his proposition #2 and his incessant and repetitive campaigning for its passage are reflective of that.

Just a difference of opinion between you and I on when declassification will be in the best interests of IDCC shareholders.
