That argument sounds like a justification of something which is very difficult to justify, especially to the shareholders.

Common shares are an asset. If I want a car, I don't sell my house at 50% of its value in order to get the money to buy the car. Going into debt often makes sense if you are going to use the proceeds to purchase an asset which will generate the cash required to cover the debt payments.

That many Reg D sales in that short amount of time at that huge of a discount doesn't suggest a rational business decision or logical business plan. It suggests something else, especially when they are made to what can only be described as a questionable cast of characters.
